About This Agreement
Virtual Media srl & TableWise.ai
- Registered Entity: Virtual Media srl, registered in Romania (Aviatorilor 3, Roman, 611011).
- Service Scope: TableWise.ai provides a SaaS platform for deploying AI agents ("Agents") to automate customer interactions. Users subscribe to access the Software and services outlined at tablewise.ai/pricing.
- Binding Terms: These Terms and Conditions ("TC") govern all business relationships between Virtual Media srl and Users (client's under Romanian law). Deviating terms from Users apply only with explicit written consent from Virtual Media srl.
Software Access & Subscriptions
SaaS Platform Details
- Access: Users register via tablewise.ai with an email and password to create an account.
- Subscription Plans: Choose between:
- Direct Use: For internal operations.
- Reselling: Authorized resale of TableWise.ai services under the brand name.
- Usage Limits: Subscriptions include monthly quotas. Excess usage incurs fees per the selected plan.
How to Subscribe
Binding Offer & Acceptance
- Offer Submission: Users select a Subscription Plan and enter payment details.
- Confirmation: TableWise.ai confirms via email, finalizing the Agreement.
Permitted Use Cases
Direct Use License
- License: Non-exclusive, non-transferable access for authorized Users (e.g., employees).
Reselling Terms
- End Customers: Users may resell under the TableWise.ai brand but ensure End Customers comply with these TC.
- Liability: Users bear responsibility for End Customer adherence.
Warranties & Third-Party Tools
Functionality Assurance
- Warranty: Software operates as described in the Subscription Plan. No implied warranties apply.
- Availability: Subject to planned maintenance or unforeseen disruptions.
Third-Party Integrations
- APIs/External Tools: Governed by their own terms. TableWise.ai disclaims liability for third-party services.
Input, Output, & Compliance
Data Accuracy & Liability
- Input: Users ensure legality/accuracy of data entered.
- Output: TableWise.ai disclaims liability for output correctness. Users indemnify against third-party claims.
Prohibited Actions
- Restrictions: No reverse engineering, unauthorized resale, or unlawful use.
Fees, Payments, & Changes
Subscription Costs
- Fees: As specified in the Subscription Plan. Users cover taxes.
- Increases: TableWise.ai may raise fees with 1 month's notice.
Plan Adjustments
- Upgrades/Downgrades: Allowed with prorated fee adjustments.
- Trials: Not currently offered.
Ownership & Data Rights
IP Rights
- Intellectual Property Rights: TableWise.ai and Virtual Media srl retains all IP Rights in the Software. Users grant rights to Input/Output for service delivery and improvements.
- User Data: Users grant rights to Input/Output for service delivery and improvements.
Confidentiality
- Obligations: Parties protect confidential data for 3 years post-termination.
Privacy Compliance
- DPA: A Data Processing Agreement governs personal data handling upon request.
Legal Boundaries
Liability Limits
- Virtual Media srl: Liable only for intent, gross negligence, or material breaches under Romanian law.
Contract Duration
- Term: Auto-renewing subscriptions.
- Termination: 1 month's notice by either party. Material breaches permit immediate termination.
Changes & Disputes
Revisions to TC
- Updates: Virtual Media SRL may amend TC with 2 weeks' notice. Users may object within 2 weeks.
Governing Law
- Jurisdiction: Romanian law applies. Disputes resolved in Roman, Neamt courts.
